1.2 Cliental Subscription

Users give VAIVA.AI a limited, revocable, non-exclusive licence to use, copy, store,
change, and display data only in order to provide the subscribed services when they
upload data to our platform. Analysing data is one way to improve the capabilities and
performance of the AI.
Data Security and Privacy: We are dedicated to safeguarding the confidentiality and
integrity of your data. We protect your data against unwanted access, disclosure,

1.4 Authorizations and Limitations
In accordance with the conditions of their subscription plan, users are granted a non-
exclusive, non-transferable, and revocable licence to access and use our services. The

As required by the service's registration form, customers must provide true, accurate, current, and full information about themselves. They are also responsible for maintaining the correctness of this information.
Account Security:
It is the responsibility of each client to limit access to their computer and to keep their account and password private. Clients consent to taking accountability for any actions taken using their password or account.
Law Compliance:
Users are in charge of utilising the service in accordance with all relevant laws, rules, and guidelines, including those pertaining to international communications, data privacy, and the transfer of technical or personal information.
Reporting Abuses:
Users are required to notify VAIVA.AI right away of any unauthorised use of the service or other security breach that they come to know of.
2.2 Use restrictions

- API Restrictions: In order to avoid placing an excessive amount of stress on the service's infrastructure, users must abide by the specified rate restrictions and use standards. Account access may be temporarily or permanently suspended for making too many queries to the API.
- Security Procedures: Users are required to put in place suitable procedures to safeguard their API access credentials and to quickly report to VAIVA.AI any instances in which they believe or actually have used the API for unauthorised purposes.
- Data handling via API: Customers must make sure that the data they submit over the API is safe and conforms with all applicable privacy and data protection laws and regulations.
- Revocation and Modification of API Access: VAIVA.AI retains the right, at any time and without responsibility, to revoke or alter API access for any reason, including but not limited to security concerns, exceeding agreed-upon use restrictions, and violations of these terms.
3. Third-party Services
The AI Assistant of VAIVA.AI may be integrated with a range of external services to broaden and improve its functionality, providing customers with sophisticated features including comprehensive data analytics, smooth customer relationship management, and extra data storage options. Users are in charge of closely monitoring integration permissions and making sure that any third-party services fit their operational requirements and adhere to applicable privacy and data protection regulations before allowing them. The ability to perform a wider range of tasks and provide more thorough insights is made possible by these integrations, but it's important to remember that VAIVA.AI does not recommend these third-party services and disclaims any liability for their functionality, data security, or content management. Although disconnecting from third-party services may affect the performance of the AI Assistant and the user experience as a whole, users are still able to do so at any moment.
4. Financial terms
The costs associated with using VAIVA.AI's AI Assistant are detailed in our subscription levels. Clients must pay in accordance with the billing terms that were mentioned at the time of membership; these periods may be annual or monthly. The fees mentioned above do not include any taxes, tariffs, or other comparable government levies of any kind, including value-added, sales, use, or withholding taxes that may be imposed by any jurisdiction. All taxes related to the purchases made by customers must be paid, with the exception of taxes based on VAIVA.AI's net revenue. The payment must be done using one of the payment methods that VAIVA.AI accepts, which include major credit cards, bank transfers, or other online payment platforms. VAIVA.AI has the right to stop or discontinue access to the AI services in the event that payment is not received. Before suspension or termination takes effect, customers will be notified so they may resolve any payment concerns and continue using the services uninterrupted.
5. Term and Termination
5.1 Term of Agreement and Renewals
When a customer subscribes to the AI Assistant, the first term of the agreement with VAIVA.AI starts on that day and lasts for the duration of the subscription plan that they have selected. Unless either party gives written notice of non-renewal at least thirty days prior to the end of the current term, the agreement will automatically renew after the first term expires for consecutive renewal durations equal to the original term. Prior to any renewal term, VAIVA.AI has the right to modify pricing. If the client objects to the price change, they will be notified and given the option to stop using the service.
5.2 Termination
Through their account management page, which offers the ability to either downgrade to a different plan or fully cease the service, customers may terminate their arrangement with VAIVA.AI at any moment. Additionally, VAIVA.AI has the right to end the agreement at any time for any reason, including but not limited to violating the Terms of Use, using the AI Assistant in an unlawful or unethical manner, or failing to pay fees when they become due. When this occurs, VAIVA.AI will give the client a written notice of termination that includes the grounds for the termination as well as the date the service will end.
5.3 Impact of Termination
All access and powers given to consumers under the agreement shall end immediately upon termination. Users are required to stop using the AI Assistant and any associated services. any information kept on VAIVA.AI's platforms are subject to irreversible deletion following a grace period, unless mandated by law to retain data. Prior to termination, customers are urged to make copies of their data. At termination, final payments will be made, and consumers will be liable for any outstanding costs. If services are paid for but not used, there won't be any returns, unless VAIVA was the reason for the termination.
6. Warranties and disclaimers
6.1 Warranties
VAIVA.AI guarantees the AI Assistant and all associated services will be rendered with a reasonable level of expertise and care. We promise that the programme will perform as specified in the user manual and that there won't be any appreciable reductions in functionality while the subscription is active. By adhering to industry-standard data protection procedures, we work to preserve the security, integrity, and confidentiality of every piece of information users provide to our platform.
6.2 Disclaimers
VAIVA.AI makes no particular commitments about the AI Assistant other than those that are stated clearly in the warranty section. The offerings are made available "as is" and "as available". We specifically disclaim all additional claims, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, as well as any other warranties, whether explicit, statutory, or otherwise. We do not guarantee that the services will run without errors or without interruptions. The quality and kind of user-provided data greatly influences the AI Assistant's effectiveness, and VAIVA.AI disclaims all liability for decisions taken in response to AI advice. Additionally, VAIVA.AI makes no guarantees regarding the timeliness, accuracy, or reliability of any information gained through the services, nor does it guarantee that the AI Assistant will satisfy the needs of any particular user or provide the desired outcomes.
7. Limitation of liability
VAIVA.AI, its affiliates, officers, employees, agents, suppliers, and licensors disclaim all liability to the maximum extent allowed by law for any indirect, incidental, special, consequential, or exemplary damages resulting from the use or inability to use the services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses. This covers, among other things, any inaccuracies or omissions in any content, as well as any loss or damage of any kind brought on by using the service or any content uploaded, transmitted, or otherwise made available via the services, regardless of whether the company was informed that such damages may occur.
Furthermore, VAIVA.AI's entire responsibility for any claim arising under these terms, including any implied warranties, is capped at the amount you paid us to utilise the relevant service(s) during the previous year, or, at our option, we will re-provide the service(s) to you. The aforementioned damage restrictions are a vital part of the agreement that VAIVA.AI has with you. The aforementioned limits might not apply to all users because certain countries do not permit the exclusion or limitation of responsibility for consequential or incidental damages.
8. Confidentiality
8.1 Definition of Confidentiality
Any non-public information supplied by either party, whether verbally or in writing, that is marked as confidential or that, given the nature of the information and the circumstances surrounding its disclosure, should be understood to be confidential, is referred to as confidential information. This covers—without being limited to—technology and technical data, product designs and plans, business and marketing strategies, and commercial procedures that are made public by either side.
8.2 Utilisation and Protection of Private Data
Both VAIVA.AI and the client consent to protecting each other's Confidential Information by using appropriate security measures. Each party undertakes to protect such private information with at least the same level of care, if not more than reasonable care. Only as much as is required to support the particular objectives of the agreement, such as the deployment, use, and upkeep of VAIVA.AI services, may Confidential Information be utilised. Without the other party's prior written consent, each party agrees to keep the other's confidential information private, with the exception of workers, contractors, and agents who are obligated to protect it from unauthorised disclosure in a way that is at least as protective as it is under these terms.
8.3 Forced Disclosure or Access
If VAIVA.AI is legally required to disclose any of the customer's confidential information by government authorities, a court order, or other legal process, VAIVA.AI agrees to give the customer reasonable assistance, at the customer's expense, to contest the disclosure as well as prior notice of the compelled disclosure (to the extent permitted by law). In the event that the customer is a party to a civil proceeding in which VAIVA.AI is required to disclose Confidential Information and the customer does not object to the disclosure, VAIVA.AI will be reimbursed for the reasonable costs it incurred in gathering and granting secure access to the Confidential Information.
8.4 Feedback
Users are encouraged to provide comments to VAIVA.AI about the functionality and effectiveness of the AI Assistant. You have no obligation to VAIVA.AI to utilise any feedback, comments, or recommendations you may have about VAIVA.AI or the services; VAIVA.AI is free to use them anyway they see appropriate. Such comments are regarded as non-proprietary and non-confidential. Without any obligations or restrictions of any sort, VAIVA.AI will be free to use, disclose, reproduce, licence, or distribute and exploit this input in any way it sees fit, whether or not it violates intellectual property rights.
9. Data
9.1 User Data
User data is gathered by VAIVA.AI in order to facilitate service registration and access. 10. General terms
10.1 Publicity

10.2 Force Majeure
VAIVA.AI disclaims all liability for any delays or performance failures resulting from events outside of its control, such as strikes, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, malfunctions in the network infrastructure, or shortages of labour, materials, fuel, energy, or transportation facilities. VAIVA.AI reserves the right, at any time, to make changes to these terms and any related policies by publishing an updated version on its website. 10.4 The Parties' Relationship
Under these conditions, the parties are independent contractors. Nothing in these conditions is meant to, or will, establish a partnership or joint venture between the parties, or grant permission to any party to represent the other in any capacity.
10.5 No Benefits to Third Parties
These terms are not meant to grant any other person or entity third-party beneficiary rights; rather, they are only meant to benefit VAIVA.AI and its users. This guarantees that in situations pertaining to agreements, only those parties directly involved have legal standing.
10.6 Email correspondence
Users agree to receive electronic messages at the email address they enter when they join up for VAIVA.AI. Service notifications, administrative communications, and sporadic marketing materials are a few examples of these. Using their account settings, users can choose not to receive non-essential communications.
10.7 Modification and Release
Any changes to these conditions or waivers thereof must be in writing and signed by VAIVA.AI. VAIVA.AI shall not be deemed to have waived any of its rights under these terms, nor shall any waiver of a breach of these terms be deemed to have waived any subsequent breaches.
10.8 Ability to Sever
These terms shall not be construed as unlawful, void, or unenforceable in their entirety; rather, only that portion of these terms that is found to be so will be removed from the agreement, should any provision of these terms be found to be so by any arbitrator or court of competent jurisdiction.
10.9 Assignment
Users may not transfer or assign their rights or responsibilities under these conditions without VAIVA.AI's prior written authorization. Nonetheless, as part of a business reorganisation, merger, or asset sale, VAIVA.AI may, at its sole discretion, assign its rights and duties under these conditions to any party.
10.10 Regulation of Law and Location
Without respect to considerations of conflict of law, the laws of the jurisdiction in which VAIVA.AI has its headquarters shall govern all matters pertaining to VAIVA.AI and these conditions. The courts situated in the same jurisdiction shall have exclusive jurisdiction over any actions or processes pertaining to this agreement.
